REMUNERATION OF BOARD MEMBERS

Remuneration to Board members is determined by the Annual General Meeting based on the recommendations of the Nomination Committee. The remuneration reflects the Board’s responsibility, expertise and time consumption, and is independent of the company’s financial results.

None of the Board members elected by the shareholders has special responsibilities over and above what follows from their office. Reference is made to Note 31.

Several of the Board members hold shares in Veidekke. A list of these members is given in Note 20.
